1 - Interpretation and Definitions

1.1 - Interpretation

The words whose initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or in the plural.

1.2 - Definitions

For the purposes of these Terms of Service:

Account means a unique account created for You to access our Service or parts of our Service.

Seller refers to users of the Service who are listing Goods or Services and making them available for trade by any means.

3- Acknowledgement & User Responsibility

These Terms of Service constitute a binding legal agreement between you ("User" or "You") and RaceTeams, LLC ("Company," "we," "us," or "our") governing your use of our website, mobile applications, and any related services (collectively, the “Service”).

By accessing or using any part of the Service, you affirm that you have read, understood, and agreed to be legally bound by these Terms of Service, as well as our Privacy Policy (collectively, the "Agreement"). If you do not agree to these Terms or our Privacy Policy, you must not access or use the Service.

3.1 - Eligibility

You represent and warrant that you are at least the age of majority as defined by the laws of your jurisdiction or the United States, whichever is greater; and have full legal authority to enter into and be bound by these Terms of Service.

Use of the Service by individuals under the applicable age of majority is strictly prohibited.

3.2 – Independent Businesses and Entities

Any service provider listed on RaceTeams.com, including but not limited to tuners, designers, fabricators, drivers, hauler operators, and engine builders, is an independent business and not an employee, agent, or representative of RaceTeams.com. The Company does not control or supervise these parties and shall not be held responsible for their conduct, the quality of their work, or the terms of their contracts.

3.3 Privacy and Consent

Your access to and use of the Service is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You acknowledge and agree that we may update or amend the Service, its features, or any related content, at our sole discretion, with or without prior notice. We are not liable for any modification, suspension, or discontinuation of the Service or any part thereof.

3.4 - User Access and Responsibilities

You are solely responsible for making all necessary arrangements to access the Service, including hardware, internet connection, and software requirements. Ensuring that all persons accessing the Service through your internet connection or account are aware of and comply with these Terms of Service.

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application or Website may also be subject to other local, state, national, or international laws.

4.1 - For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.

4.2 - United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

4.3 - Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force, and effect.

4.4 - Waiver

Except as provided herein, the failure to exercise a right or to require the performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

5 - User Accounts

5.1 - Account Creation

When You create an account with Us, You must provide Us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

5.2 - Account Information

You may be asked to supply certain information relevant to Your Account including, without limitation, Your name, Your email, Your phone number, and Your address.

You may have to provide documents to comply with identity verification.

Before or during posting Goods, you may be asked to supply, without limitation, Your bank account details, and Your identity documents.

Before or during placing an Order, you may be asked to supply, without limitation, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information.

5.3 - Tax Responsibility

Sellers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, fees, and charges related to the sale of their goods or services through the platform. RaceTeams.com does not provide tax advice and shall not be held liable for any uncollected or misreported taxes.

5.4 - Account Review

Unless part of a feature of the Service, We do not perform background checks or endorse any users. We do not accept any responsibility for the reliability, accuracy, and completeness of any information provided by users.

5.5 - Account Password

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

5.6 - Account Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Service. Upon termination, Your right to use the Service will cease immediately.

If You wish to terminate Your Account, You may simply discontinue using the Service or delete Your Account from the Service, or contact Us for help.

5.7 - Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

Additionally, you agree not to:

The Website may contain private messaging features, message boards, chat rooms, personal web pages or profiles, forums, bulletin boards and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website.

All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose/according to your account settings.

You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

5.9 Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

YOU WAIVE AND HOLD HARMLESS THE COMPANY [AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY/SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot/do not undertake to review all material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for the performance or nonperformance of the activities described in this section.

6 - Content

6.1 - Your Right to Post Content

Our Service allows You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post, or display on or through the Service and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content available to other users of the Service, who may also use Your Content subject to these Terms.

You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

6.2 - Content Restrictions

The Company or Company or Operator is not responsible for the content of the Service's users. You expressly understand and agree that you are solely responsible for the Content and for all activity that occurs under your account, whether done so by you or any third person using your account.

You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene, or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

Unlawful or promoting unlawful activity.
Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
Spam, machine, or randomly–generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity, or other rights.
Impersonating any person or entity including the Company or Operator and its employees or representatives.
Violating the privacy of any third person.
False information and features.

The Company or Operator reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with these Terms, refuse or remove this Content. The Company or Operator further reserves the right to make formatting and edits and change the manner of any Content. The Company or Operator can also limit or revoke the use of the Service if You post such objectionable Content. As the Company or Operator cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service You may be exposed to content that You may find offensive, indecent, incorrect, or objectionable, and You agree that under no circumstances will the Company or Operator be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.

6.3 - Content Backups

Although regular backups of Content are performed, the Company or Operator does not guarantee there will be no loss or corruption of data.

Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

The Company or Operator will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company or Operator has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.

6.2 - Content Standards and User Responsibilities

This section governs all content you submit, upload, post, or otherwise contribute to the RaceTeams.com platform, including but not limited to text, images, video, logos, data, comments, and links (“User Contributions”), as well as your use of any interactive or public features on the Service (“Interactive Services”).

By submitting content, you agree to abide by the following standards and understand that a violation may result in the removal of content, suspension of your account, legal liability, or termination of access, at our sole discretion.

6.3 - Compliance with Laws and Policies

All User Contributions must fully comply with:

Applicable local, state, national, and international laws and regulations; and
These Terms of Service and our Privacy Policy.

You are solely responsible for the legality, originality, and appropriateness of your content and your account activity.

6.4 - Prohibited Content

You must not upload, submit, or share any content that:

Violates Intellectual Property Rights: Includes any material that infringes or misappropriates patents, trademarks, trade secrets, copyrights, publicity rights, or other proprietary rights of any third party.
Violates Privacy or Publicity Rights: Discloses personal, private, or confidential information about others without authorization.
Is Harmful, Abusive, or Offensive: Includes defamatory, obscene, indecent, pornographic, harassing, violent, threatening, inflammatory, hateful, vulgar, or otherwise objectionable material.
Promotes Discrimination or Hate: Encourages hatred or discrimination based on race, religion, nationality, gender, sexual orientation, disability, or age.
Is Deceptive or Fraudulent: Contains false or misleading information, impersonates any person or entity, or misrepresents your identity or affiliation.
Promotes Illegal or Dangerous Activities: Encourages, depicts, or promotes any illegal conduct or activity, including but not limited to drugs, weapons, or self-harm.
Constitutes Spam or Unauthorized Commercial Use: Includes unsolicited promotions, advertisements, chain letters, pyramid schemes, affiliate links, contests, or other forms of solicitation.
Contains Malicious Code: Uploads or links to software, scripts, or files containing viruses, worms, trojans, or other code intended to disrupt or damage systems, software, or data.
Violates Platform Integrity: Attempts to manipulate the platform, collect user data without consent, or interfere with system performance.
Suggests False Affiliation: Gives the impression that it is endorsed by or originates from RaceTeams.com or its affiliates without written authorization.

6.5 - Content Moderation Rights

RaceTeams.com is not obligated to monitor user activity, but we reserve the right (without obligation and at our sole discretion) to:

Review, remove, or refuse to publish any content that violates these Terms or is otherwise objectionable;
Edit or format content for presentation, compliance, or clarity;
Limit or revoke any user's access to the Service due to repeat or serious violations;
Cooperate with law enforcement or rights holders to address illegal or infringing conduct.

We do not endorse any User Contributions and disclaim all liability related to content posted by users. You acknowledge that by using the Service, you may be exposed to content you find offensive, inaccurate, or otherwise unsuitable. You agree to access and use the platform at your own risk.

6.6 - Account Responsibility

You are responsible for all activity conducted through your account. If another person accesses the Service using your credentials, you are liable for their conduct and any resulting harm. You agree to notify us immediately of any unauthorized access or security breach.

6.7 - Content Backups and Storage

While RaceTeams.com may perform regular backups of User Content, we make no guarantee that such backups will be complete, accurate, or restorable. Backup data may become corrupted or invalid due to changes during the backup process or content quality.

You acknowledge and agree that:

RaceTeams.com has no liability for any loss, corruption, or inaccessibility of your content;
You are solely responsible for maintaining your own independent, up-to-date backups of all uploaded materials;
We may assist in troubleshooting backup-related issues, but without any guarantee of full restoration.

7 - Intellectual Property Rights & Content Ownership

7.1 - Ownership of Content and Services

The Website and its entire contents, features, and functionality—including but not limited to text, software, scripts, code, designs, graphics, images, video, audio, interfaces, and the arrangement thereof—are the sole and exclusive property of RaceTeams, LLC (“Company,” “we,” “us,” or “our”), our licensors, or other content providers. All such materials are protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.

Except as expressly authorized by these Terms of Service, no content from the Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without our prior written permission or that of the rightful owner, where applicable.

We reserve all rights not expressly granted to you in and to the Service and its content.

7.2 Permitted Uses

You may access and use the Website solely for your personal, non-commercial use, subject to the following limitations:

You may temporarily store files in your browser cache incidental to viewing the Website.
You may print or download a reasonable number of Website pages for your personal use only.
You may download one copy of any downloadable application or media we provide, solely for personal use, and subject to any applicable license agreement.
You may utilize social media features or sharing tools if they are enabled by us and used in accordance with their intended purpose.

7.3 User-Generated Content & Responsibility

The Service may allow users to submit, upload, post, or otherwise provide content—including but not limited to text, images, logos, designs, videos, audio, and product listings—(“User Content”).

By submitting User Content to RaceTeams.com, you agree to the following:

You are solely responsible for your User Content.
You represent and warrant that you either own the rights to the content or have obtained all necessary permissions and licenses to submit it.
Your User Content does not infringe, misappropriate, or violate the rights of any third party, including copyright, trademark, privacy, or publicity rights.
RaceTeams assumes no responsibility or liability for User Content or for any loss or damage arising from it.

We do not pre-screen User Content but reserve the right (without obligation) to monitor, remove, or disable any content that, in our sole discretion, violates these Terms, applicable law, or the rights of others.

7.4 Copyright Infringement & DMCA Compliance

RaceTeams.com complies with the U.S. Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws.

If you believe that any content on the Service infringes upon your intellectual property rights, you or your authorized agent may submit a written takedown notice to our designated Copyright Agent:

Upon receipt of a valid takedown notice, we will investigate the matter and may remove or disable access to the allegedly infringing material. We may also notify the user who posted the content and, where appropriate, offer an opportunity to file a counter-notification in accordance with the DMCA.

7.5 Repeat Infringer Policy

RaceTeams maintains a strict policy for repeat infringers. Any user who repeatedly uploads infringing content may have their account suspended or permanently terminated, at our sole discretion.

7.6 Trademark Notice

All trademarks, service marks, logos, trade names, and branding on the Service are the property of RaceTeams, LLC or their respective owners. Use of any trademarks without our prior written permission is strictly prohibited.

7.7 Violations and Enforcement

If you access, copy, distribute, or use any part of the Website or its content in violation of these Terms, your right to use the Service will immediately cease. Upon request, you must return or destroy any copies of the content you have made.

Unauthorized use may also subject you to civil and criminal penalties.

8 - Orders of Goods

By placing an Order for Goods through the Service, You warrant that You are legally capable of entering into binding contracts.

8.1 - Position of the Service in Orders

RaceTeams.com is a marketplace platform only. RaceTeams.com acts solely as a neutral platform for Sellers and Buyers to connect, negotiate, and enter into agreements. We do not own, inspect, or guarantee any of the Goods or Services listed on the platform, nor do we act as a broker, agent, or guarantor. We are not a party to any transaction between users, and we do not oversee, validate, or endorse any user-generated listings or fulfillments. The Company shall have no liability for any issues, disputes, or losses arising from member-to-member transactions.

Our role is one of a facilitator between You and the Sellers, using the Service. We are, therefore, a third party in Orders, which limits Our liabilities in any disputes between You and the Sellers.

We are not a party to any agreement You have with the Sellers. Any agreement You enter with the Sellers does not form a part of any agreement We have with you.

8.1.1 - Goods, Services, and Sponsorship Disclaimers

RaceTeams.com makes no warranties or guarantees regarding:

The accuracy or authenticity of any listings
The condition, safety, or legality of parts or vehicles
The availability or scheduling of tracks or services
Sponsorship agreements, including any return on investment, exposure, or promotional outcomes

Sellers are solely responsible for the fulfillment of their obligations. Failure to deliver, fraud, or misrepresentation by Sellers shall not be the responsibility of RaceTeams.com.

8.2 - Your Information as Buyer
